1. Agreement to These Terms

These Terms of Service ("Terms") govern your use of nearstrategy.com (the "Site"), operated by NGSC LLC, doing business as Near Strategy ("Near Strategy," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. Description of Services

Near Strategy provides digital marketing services, including local search engine optimization, organic search engine optimization, answer engine and generative engine optimization, paid search management, and geofencing advertising, for brands owned by our company and for business clients.

The Site is informational. Client engagements are governed by separate written agreements between Near Strategy and the client. If these Terms conflict with a signed client agreement, the client agreement controls. Nothing on the Site constitutes legal, financial, or professional advice, and no outcome, ranking, placement, or performance result is guaranteed.

3. Intellectual Property

The Site and its content, including text, graphics, logos, images, page designs, and software, are the property of Near Strategy or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Site without our prior written consent, except as permitted for personal, non-commercial viewing.

4. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose
• Attempt to gain unauthorized access to the Site or related systems
• Interfere with or disrupt the operation of the Site
• Scrape, harvest, or collect information from the Site by automated means without our written permission
• Submit false or misleading information through our forms

5. No Warranties; Services Provided As Is

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SEARCH ENGINE RANKINGS, ADVERTISING PERFORMANCE, AND MARKETING OUTCOMES DEPEND ON FACTORS OUTSIDE ANY PROVIDER'S CONTROL, AND WE MAKE NO GUARANTEE OF ANY SPECIFIC RESULT.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEAR STRATEGY AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. IN NO EVENT WILL OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE EXCEED ONE HUNDRED DOLLARS ($100).

7. Indemnification

You agree to indemnify and hold harmless Near Strategy and its members, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Site will be brought in the state or federal courts of Delaware, and you consent to the jurisdiction of those courts.

9. Modification of Terms

We may revise these Terms at any time by posting an updated version on this page with a revised "Last updated" date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
